1. Authorized Use and Purpose

• The Platform is a proprietary talent intelligence system designed to support internal hiring, role-fit evaluation, leadership assessment, and onboarding decisions.
• Access to the Platform is limited to authorized users acting on behalf of a customer organization ("Authorized Users").
• The Platform is not a public assessment tool and may not be used for external services, certification, or third-party evaluations.

2. Intellectual Property and Trade Secrets

All content, assessments, workflows, scoring systems, methodologies, algorithms, analytics, reports, and outputs available through the Platform are the exclusive property of TestForTalent.

This includes, without limitation:

• scoring and weighting logic
• interpretation and evaluation models
• assessment structure and sequencing
• derived insights and analytics

These elements constitute confidential trade secrets and proprietary intellectual property.

No rights are granted except a limited right to access the Platform in accordance with these Terms.

3. Prohibited Uses

You agree not to, directly or indirectly:

• reverse engineer, decompile, or attempt to discover the logic of the Platform
• infer scoring or interpretation methodologies through systematic testing, benchmarking, or comparative analysis
• use Platform outputs to build, train, validate, or improve competing products, models, or services
• reproduce, resell, sublicense, or make Platform outputs available to third parties
• use the Platform as an assessment-as-a-service offering for external parties

Any attempt to extract or replicate the Platform's intelligence is strictly prohibited.

4. Data, Outputs, and Decision Responsibility

• You retain ownership of raw information you submit to the Platform.
• TestForTalent retains exclusive ownership of:
  • all scoring and interpretation logic
  • all evaluation frameworks
  • all derived insights and analytics
• Platform outputs are provided solely as decision-support tools.
• TestForTalent does not make hiring, promotion, termination, or employment decisions and does not assume responsibility for such decisions.

5. Privacy and Data Processing

The Platform processes user and assessment data solely to operate, secure, and improve the Platform.

TestForTalent:

• does not sell personal data
• does not use data for advertising
• does not permit Platform outputs to be used for model training or competitive analysis

Users agree not to submit sensitive personal data unless expressly authorized.

6. Monitoring, Suspension, and Enforcement

• TestForTalent may monitor Platform usage to detect misuse, abuse, or violations of these Terms.
• TestForTalent reserves the right to immediately suspend or terminate access if misuse is suspected or these Terms are violated.
• Unauthorized use may result in legal action, including injunctive relief, to protect TestForTalent's intellectual property and trade secrets.

7. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

• you are an Authorized User
• you have read and understood these Terms
• you agree to be bound by them
